1. Introduction

Welcome to BeChorus (“BeChorus,” “we,” “our,” or “us”), a digital music distribution and management platform that enables artists, labels, and rights holders to distribute, monetize, and manage their content across global digital service providers (“DSPs”).

By accessing or using our website, platform, or services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”).

If you do not agree, you must not use our Services.

2. Definitions

  • “User” means any individual or entity using BeChorus
  • “Content” means audio, video, artwork, metadata, and related materials
  • “DSPs” means third-party platforms (Spotify, Apple Music, YouTube, etc.)
  • “Royalties” means revenue generated from distributed content
  • “Account” means your registered user profile

3. Eligibility & Authority

You represent and warrant that:

  • You are at least 18 years old or have legal guardian consent
  • You have full legal authority to enter into this agreement
  • If acting on behalf of a label or company, you are authorized to bind that entity

4. Services Provided

BeChorus provides:

  • Digital music distribution to global DSPs
  • Content delivery, encoding, and metadata management
  • Royalty collection and reporting
  • Analytics and performance insights
  • Artist and label management tools

We reserve the right to modify, suspend, or discontinue any part of the Services at any time.

5. Account Registration & Security

You agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of your login credentials
  • Be responsible for all activities under your account

BeChorus is not liable for unauthorized access due to your failure to secure your account.

6. Content Ownership & License

6.1 Ownership

You retain all ownership rights in your Content.

6.2 License Grant

You grant BeChorus a non-exclusive, worldwide, royalty-free license to:

  • Distribute your Content to DSPs
  • Reproduce, store, and transmit Content
  • Use artwork and metadata for promotional purposes

This license is necessary to operate the Services.

7. User Representations & Warranties

You represent and warrant that:

  • You own or control all rights to the Content
  • Your Content does not infringe any copyright, trademark, or rights
  • All collaborators and contributors have been properly credited and compensated
  • Your Content complies with all applicable laws

8. Prohibited Content & Activities

You agree NOT to:

  • Upload infringing or unauthorized content
  • Engage in artificial streaming, bots, or manipulation
  • Provide false metadata or misleading information
  • Use the platform for illegal or fraudulent purposes
  • Attempt to hack, reverse engineer, or disrupt Services

Violation may result in immediate termination.

9. Content Delivery & DSP Policies

  • BeChorus delivers Content to DSPs, but does not control DSP decisions
  • DSPs may reject, remove, or monetize Content at their discretion
  • You agree to comply with all DSP policies and guidelines

10. Royalties & Payments

10.1 Collection

BeChorus collects royalties from DSPs on your behalf.

10.2 Payments

  • Payments are issued according to your account settings or agreement
  • Minimum payout thresholds may apply
  • Processing times depend on DSP reporting cycles

10.3 Deductions

We may deduct:

  • Platform fees
  • Taxes (if applicable)
  • Chargebacks or fraud-related adjustments

11. Taxes

You are solely responsible for:

  • Reporting your earnings
  • Paying applicable taxes in your jurisdiction

BeChorus may request tax documentation where required.

12. Term & Termination

12.1 Term

These Terms remain in effect while you use the Services.

12.2 Termination by You

You may stop using the Services at any time.

12.3 Termination by BeChorus

We may suspend or terminate your account if:

  • You violate these Terms
  • You upload infringing or fraudulent content
  • Required by law or DSPs

13. Content Removal

  • You may request removal of your Content
  • Removal timelines depend on DSP processing (may take days or weeks)
  • BeChorus is not responsible for delays caused by third parties

14. Intellectual Property

  • All BeChorus technology, branding, and platform design are owned by BeChorus
  • You may not copy, reproduce, or exploit any part of the platform

15. Third-Party Services

BeChorus integrates with third-party platforms.

We are not responsible for:

  • DSP outages or errors
  • Changes in DSP policies
  • Revenue discrepancies caused by third parties

16. Limitation of Liability

To the maximum extent permitted by law:

BeChorus shall not be liable for:

  • Loss of revenue, profits, or opportunities
  • Indirect or consequential damages
  • Service interruptions or technical errors

Services are provided “as is” and “as available.”

17. Indemnification

You agree to indemnify and hold BeChorus harmless from:

  • Claims arising from your Content
  • Copyright or rights violations
  • Misuse of the Services

18. Privacy

Your use of BeChorus is also governed by our Privacy Policy.

19. Modifications to Terms

We may update these Terms at any time.
Continued use of the Services constitutes acceptance of updated Terms.

20. Governing Law

These Terms shall be governed by the laws of India, without regard to conflict of law principles.

21. Dispute Resolution

Any disputes shall be resolved through:

  • Good faith negotiation first
  • If unresolved, courts of competent jurisdiction in India

22. Force Majeure

BeChorus shall not be liable for delays or failure due to:
